This Terms of Service Agreement ("Agreement") is entered into between Workday 8 LLC ("Service Provider") and the customer ("Client") for the provision of remote video and audio editing services to Catholic churches. This Agreement sets forth the terms and conditions that govern the use of the services provided by Workday 8 LLC.

Scope of Work

Workday 8 LLC offers video and audio production services using cloud-based solutions. The Client agrees to provide the necessary materials and instructions to enable Workday 8 LLC to perform the requested services.

Revisions
The first revision of any project is complimentary. For subsequent revisions, the Client will be charged at a rate of $150 per hour.

Ownership and Credit
Upon delivery, the videos produced by Workday 8 LLC become the property of the Client. Workday 8 LLC may request to credit its services within the video unless otherwise specified by the Client.

Cancellation
Workday 8 LLC reserves the right to cancel services at any time and for any reason without explanation. In such cases, the remaining balance will be refunded to the Client, minus any work already completed. If the Client has rented any equipment from Workday 8 LLC, it must be returned within 30 days. Failure to return the equipment within this timeframe will result in the Client being charged the full cost of the equipment.

Refund Policy
Any subscription purchased includes a two-month guarantee, applicable only to the first two months. Refunds will be issued for a maximum of two months' subscription fees. If upfront setup fees were charged, they will not be refunded. Refunds will be processed within 30 days.

Payment
Payment for services must be made according to the agreed-upon terms. If payment is declined or late by 30 days, the service will be put on hold until payment is received. A 10% late fee will be added to the outstanding balance. If payment is not received within 60 days, the service will be cancelled.

Incomplete Tasks or Services
If a task or service cannot be completed due to the Client's actions or inactions, Workday 8 LLC will refund 50% of the original charge. If a task or service cannot be completed due to an error on the part of Workday 8 LLC, a full refund will be issued for that task or service.

Intellectual Property Rights
The Client represents and warrants that they have the necessary rights, licenses, and permissions for any content, materials, or intellectual property provided to Workday 8 LLC. The Client shall indemnify and hold harmless Workday 8 LLC from any claims arising from the unauthorized use of intellectual property.

Confidentiality
Both parties agree to keep any confidential information exchanged during the course of the services confidential and not disclose it to any third parties without prior written consent, except as required by law.

Defamation
The Client agrees not to make any false or defamatory statements, whether written or verbal, about Workday 8 LLC, its employees, or subcontractors. In the event of a breach of this clause, the Client shall be liable for any damages, including but not limited to reputational harm and legal expenses, incurred by Workday 8 LLC as a result of such statements.

Termination
Either party may terminate this Agreement upon written notice if the other party fails to fulfill its obligations under this Agreement, subject to any rights or obligations accrued prior to termination.

Limitation of Liability
Workday 8 LLC shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the services provided, including but not limited to lost profits, loss of data, or loss of business opportunities.

Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [jurisdiction].

Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements, understandings, or representations, whether oral or written.

By engaging the services of Workday 8 LLC, the Client acknowledges that they have read, understood, and agreed to the terms and conditions outlined in this Agreement.
